Referral Program Terms & Conditions:The Newegg Referral Program Terms and Conditions (“Terms and Conditions”) govern your participation in the Newegg Referral Program (the “Program”). Newegg’s Terms of Use and Privacy Policy are incorporated into these Terms and Conditions by this reference. In the event of a conflict between these Terms and Conditions and Newegg’s Terms of Use, the provisions of these Terms and Conditions will govern on all matters related to the Program.

By referring another customer to Newegg or otherwise participating in the Program, the participant agrees to these Terms and Conditions. Newegg (“we” or “Company”) reserves the right to disqualify anyone from participating in the Program at any time in its sole discretion. A violation of these Terms and Conditions may result in your disqualification and/or a forfeiture of all rewards previously earned through the Program. We reserve the right to revoke any rewards, or otherwise disqualify anyone, in the event of any suspected fraud or violation of these Terms and Conditions.

1.Exemptions and Eligibility

1.1. To participate in the Program, a referring customer (“you” or “Referrer”) must (i) be a United States resident with a valid United States shipping address; (ii) have an active and valid Newegg customer account; (iii) and refer another customer (“Referred Customer”) through the referral link or referral code provided in your Newegg account. Referrer is prohibited from posting their referral link or referral code on any deal aggregator websites (i.e. dontpayfull.com).

1.2. We reserve the right to accept or reject any referral and/or participation in the Program in our sole discretion without giving any reason. You may not participate in our program if you are below 18 years old or if you are otherwise prohibited by applicable law.

1.3. Your participation in the Program constitutes your acknowledgement that you have the legal authority to bind yourself to, and your acceptance of, these Terms and Conditions. You acknowledge that you have read and agree to be bound by these Terms and Conditions and to comply with all applicable laws, regulations, and/or rules with regard to your participation of the Program. If you do not agree to these Terms and Conditions, then you may not participate in the Program.

1.4. From time to time, Company may update the Program and these Terms and Conditions. Your participation in the Program after Company posts changes to these Terms and Conditions constitutes your agreement to those changes effective immediately and prospectively from the date of such changes. Company may, in its sole discretion, and at any time, discontinue this Program, with or without notice. You agree that you do not have any rights in this Program and Company will have no liability to you if this Program is discontinued or your ability to participate in the Program is terminated.

2.How the Referral Program Works

2.1. From November 1 to November 30, 2023 or until the Program’s promotion funds are exhausted (“end date”) whichever occurs first, a Referrer will receive a $20 Newegg gift card for each Referred Customer who makes a valid qualifying purchase of $200 or more in a single order using the Referrer’s referral link or referral code. Each referral link or referral code is limited to one use per Referred Customer only.

2.2. Each Referrer can receive up to ten (10) $20 Newegg gift cards, with a maximum total value of $200, as rewards for their referrals. No Newegg gift cards will be earned, if the Referred Customer’s purchase of $200 or more in a single order is cancelled or not completed at any time for any reason.

2.3. Newegg will issue the earned $20 Newegg gift card(s) via email within seven (7) days after the Program end date.

2.4. Newegg gift cards may only be used for purchasing qualifying items on Newegg platform. Qualifying items are subject to change at the Company’s sole discretion at any time for any reason.

2.5. Newegg gift cards have no cash value and may not be transferred or exchanged for cash or cash equivalents. They are not transferable and may not be auctioned, traded, bartered, sold or assigned.

2.6. Newegg gift cards will expire 90 days from the Program end date.

2.7. Referrer and Referred Customer cannot be the same person. Referrer cannot earn Newegg gift cards under this Program by creating multiple Newegg customer accounts.

2.8. Referrers are responsible for any Tax consequences, if any, that may result from redemption or use of Newegg gift cards.

3. General Terms

3.1. Customer must comply with all applicable laws and regulations, including but not limited to those relating to advertising, marketing, and promotions.

3.2. The Company may terminate your participation in the program and void existing gift cards at any time without notice, for any reason including account manipulation or abusing the program. The Company may also modify or terminate the program at any time without notice.

3.3. You may not use the Company's trademarks, logos, or other intellectual property without the Company's prior written consent.

3.4. The Company is not responsible for any losses or damages suffered by you as a result of your participation in the Program.

3.5. These Terms and Conditions constitute the entire agreement between the parties and supersede all prior or contemporaneous negotiations, discussions, or agreements, whether written or oral.

3.6. These Terms and Conditions will be governed by and construed in accordance with the laws of California, without giving effect to any choice of law or conflict of law provisions. Any dispute arising out of or relating to these Terms and Conditions, or the breach thereof, will be resolved by arbitration in accordance with the rules of the arbitration service specified by the Company.

3.7. The failure of either party to enforce any provision of these Terms and Conditions will not be construed as a waiver of such provision or of the right to enforce it in the future.

3.8. If any provision of these Terms and Conditions is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

3.9. You may not assign or transfer your rights or obligations under these terms and conditions without the prior written consent of the Company.
